European Crowdfunding Service Providers

Die EU beabsichtigt, eine Verordnung zu Europäischen Crowdfunding-Dienstleistern für Unternehmen (European Crowdfunding Service Providers, kurz ECSP) zu erlassen. Ein entsprechender Vorschlag der Kommission wurde am 8. März 2018 veröffentlicht. Mit der Verordnung soll der Zugang zu Finanzierungen insbesondere für innovative Unternehmen, Start-up-Unternehmen und KMU mittels Crowdfunding innerhalb des Binnenmarkts erleichtert werden. Die Verordnung soll auch für den EWR relevant sein; entsprechend wird sie auch Liechtenstein anzuwenden haben.

Das Europäische Parlament hat zu diesem Verordnungsentwurf am 10. August 2018 einen Entwurf eines Berichts veröffentlicht. Dieser enthält diverse Änderungsvorschläge zum Verordnungsentwurf. Wesentlich und interessant ist hierbei, dass gemäss diesem Entwurf auch Initial Coin Offerings (ICO) grundsätzlich vom Anwendungsbereich der Verordnung erfasst werden sollen; ausgenommen sollen dabei ICO ohne Gegenpartei und ICO, in denen das beschaffte Kapital EUR 8 Millionen übersteigt, sein.

Ob und inwieweit in der Verordnung letzten Endes ICO von ihrem Anwendungsbereich umfasst sein werden, kann nach heutigem Stand nicht abgeschätzt werden und bleibt abzuwarten. Jedenfalls würde deren Aufnahme in den Verordnungstext einen Meilenstein für die Akzeptanz von ICO als Finanzierungsmöglichkeit für Start-up-Unternehmen sowie einen wichtigen Schritt hin zur Festlegung von Schutzmassnahmen für Investoren im Rahmen eines ICO darstellen.

 

The EU intends to adopt a Regulation on European Crowdfunding Service Providers (ECSPs). A Commission proposal regarding this was published on March 8, 2018. The Regulation aims to facilitate access to funds within the European market through crowdfunding; In particular, for innovative enterprises, start-ups, and SMEs. Seeing that the regulation will be relevant to the EEA as well, Liechtenstein will apply it accordingly.

On 10 August 2018, the European Parliament published a draft report on this drafted regulation. This report contains various proposals for amendments to the draft. It is important and interesting to note that, according to this draft, Initial Coin Offerings (ICO) should also, in principle, be covered within the application of the Regulation. However, this excludes ICOs without counterparty and ICOs in which the capital acquired exceeds EUR 8 million.

Whether and to what extent ICOs will ultimately be covered by the scope and application of this regulation remains to be seen. In any case, the inclusion of ICOs in the text of the regulation would represent a milestone towards acceptance of ICOs as a financing option for start-up companies. Furthermore, this would also represent an important step towards defining protective measures for investors within the ICO framework.
